The Hillshire Brands Co., the former North American business of Sara Lee Corp., which split into two separate companies in June, said Tuesday it will be late filing its annual report with the Securities and Exchange commission for the fiscal year ended June 30, due to an investigation in Brazil.

DOWNERS GROVE, Ill. (AP) — The Hillshire Brands Co., the former North American business of Sara Lee Corp., which split into two separate companies in June, said Tuesday it will be late filing its annual report with the Securities and Exchange commission for the fiscal year ended June 30, due to an investigation in Brazil.

Hillshire Brands notified the SEC it will be late and received a 15 calendar-day extension, to Sept. 13. The company said it will file on or before that date.

The delay relates to an investigation by D.E Maser Blenders 1753 NV, of accounting irregularities in its Brazilian operation. The company was previously part of Sara Lee and became part of Hillshire Brands. D.E Master Blenders has said it is close to completing its internal investigation.

Hillshire said there will be no changes to its fourth-quarter or full-year results issued on Aug. 9.

Shares closed down a penny at $26.03 on Tuesday.
