Lafarge, the largest maker of building materials, has agreed to sell its roof-tile unit to private equity firm PAI Partners for $2.6 billion.

Lafarge will hold a 35 percent stake in the new entity, with a corresponding number of seats on the board.

The deal includes $2.6 billion in cash for the acquisition of the shares and approximately $558 million of debt and pension liabilities.
