The agreement is a 50-50 joint venture. The facility will be built at Dow's manufacturing complex in Freeport, Texas, south of Galveston.

The deal is expected to close in the third quarter.

The new facility is expected to begin operating in mid-2013, and will have a capacity of approximately 800 kilotons per annum.
