Danaher To Acquire Australian Medical Technology Company

Vision Systems will be sold to Danaher for $520 million

Danaher Corp. has announced an agreement to acquire Vision Systems Ltd., an Australian medical technology company, for $2.79 per share, bringing the total transaction to approximately $520 million.

Danaher, a manufacturer of industrial instruments, tools and components, has terminated its discussions with Ventana Medical Systems, Inc. over a potential cooperative effort to purchase Vision.

Vision's Board of Directors unanimously recommended that Vision's shareholders accept the offer in the absence of a superior offer. The acquisition is expected to close during the fourth quarter of this year.

The merger of Danaher’s Leica Microsystems pathology diagnostics business with Vision’s pathology diagnostics instrument and consumables product offerings will create a leading global supplier for the anatomical pathology market.
